22 Jun 07 ICICI Bank IPO allotment status and listing details for Part Payment Option users

ICICI Bank IPO has closed for subscription today. The ICICI IPO has performed very well and has received excellent response from institutional investors. Overall the ICICI Bank FPO has been subscribed by 11.5 times (oversubscribed 10.5 times). However the retail investor category has been subscribed only about 1.1 times the IPO issue size. Hence retail investors who applied using the part payment option will get partly paid shares and will have to pay the balance amount in 2 installments. The first installment needs to be paid on allotment and the second installment needs to be paid on call  (within six months from allotment date). Only after both the installments are paid the partly paid shares alloted during the ICICI IPO allotment process would be converted into fully paid shares. Even after reading the red herring prospectus a couple of times, I’m still quite confused as to how exactly this process will work. From whatI understand from reading the RHP, ICICI Bank is likely to list its partly paid shares only 1 month after the allotment status is known and the shares are received in the demat account. So, those with partly paid shares cannot sell those shares on allotment. Regarding payment of installments there have been a few queries regarding how investors will be expected to pay the installments. I doubt ICICI bank will offer online funds transfer facility. The most likely option that would be offered by ICICI Bank is to ask investors to deposit cash in designated ICICI bank branches. If investors do not deposit the funds within the period mentioned, then the shares will be forfeited and the entire investment made in the IPO will be lost. Hence keep an eye for announcements regarding the dates on which the balance amount needs to be paid.     From your description, what i could understand is, the part payment applicants need to pay remaining amount in two installments over the period of 6 months. My question is, how the remaining amount will be devided in two installments? Will it be plain 50-50 or some other kind of destribution?

    hi bullish, can u reconfirm that the installment can be deposited by anybody and also it will not require signature of the account holder. i’m afraid if they ask to deposit it in person or request signature of a/c holder on any form, then i will loose my investment. most probably i’ll be allocated 90-96 shares, is it possible i sold 350 share in future and buy now reamining shares to maintain my position? please explain, as i do not understand airthmatics of f&o. thanx

    @Dny – First Installment would be Rs. 250 and the balance needs to be paid in the second installment

    @alam – Yes, you can sell 1 lot futures contract and buy about 250 shares depending on how much you applied for in the FPO. This way you can maintain a full hedge. But your investment will become huge and hence your total ROI will become very diluted.

    I’m pretty sure, ICICI Bank will not ask you to deposit the cash in person. You can ask your family/friends to deposit the funds on your behalf.

    As per my understanding for NRI’S part payment option is not available as they need to take the approval from RBI. So if you have declared yourself as NRI, then you might face difficulty.

    @giridhar – Yes, you can sell shares after paying the first installment once the partly paid shares of icici bank are listed. It might take 1 month’s time from the time the allotment process is completed for the partly paid shares to be listed

    People are saying that i could have got it @800 in place of 890 on listing date as there will be heavy selling pressure on day of listing and it will go to 750 after listing.

    hi to all, from what i understand reading the red herring prospectus,if you pay the entire balance amount at the first installment itself, then your shares are converted into fully paid shares. your demat account will show fully paid up shares and you are free to trade them.if you pay only the first installment (rs 250) your demat account would show partly paid shares and you can trade them under a separate ISIN number (and at a separate price) which is different from the ISIN of icici bank fully paid up shares. In both of the above settings,the shares can be traded only after one month from the listing date of fully paid shares. You have 21 days from the date of first call to pay the first installment at the icici banks mentioned in the first call notice. People who have applied using part payment are definately at a disadvantage here. It is better to change their approach to a long term investment and pay the first call of rs 250 and the remaining only after six months when icici will send the second call notice.

    As per second part payment notice issued by ICICI through Karvy, such partly paid shares can be traded after change in status with prior SEBI approval to be sought by ICICI about 15 days after confirmation of second part payment (roughly by 10th August 07 onwards). But I think you will loose Rs 50/- retail discount if you sell these shares before third and final part payment of Rs 390/- per share and it will pass on to new share holder.

    Mr Batra, looks like you have got it wrong. Retail investors who made full payment could sell it and shares costed them 890 only. I think the same would hold true for payment option as well.

    You are right, the investors who paid full amount, got the discount immideately, but for part payers, the discount is to be adjusted during third and final payment only.

    The current part payment option allows for payment of Rs. 250/- per share only and the notice very categorily states that there is no way an investor can pay whole remaining payment of Rs. 640/- in one and the same payment notice. The third payment will be asked by ICICI within six months from now. Till then these partly paid shares will be traded under different IN no. and definitely, when after six months, if you do not hold ICICI shares anymore (due to sell now) then Rs. 50/- discount automatically will pass on to new share holder.

    @alam – The shares won’t be converted to fully paid shares until the second installment is paid. ICICI Bank will list the partly paid shares soon which will offer investors holding partly paid shares an exit option.

    @Anis – It is clearly mentioned in the call letter for the first part payment that you cannot pay the entire remaining amount before the second call. So the only option to exit is to wait till ICICI Bank lists its partly paid shares and sell the partly paid shares.

    there is nothing to worry on that. Same happened with me too. I checked up with the icici direct helpline and they said that the company had taken the partly paid share back and would be returning it in 2/3 days after converting it to be trade able.
    Well i also quite didnt understand that. But she said that it would happen automatically and there is nothing i can or need to do for it.
    Surprizinly again in my dmat account these share are being reflected.
    So all back to square one…:)
    dont think any logic works here, any idea??

    As far as I know, there has been no call yet for the final instalment. I will be selling off the pp shares and buying the fully paid off the market to convert…no point to wait for the call and then make DD and go to their designated branch etc etc… too much hassel. The call should be soon now coz cost of funds for ICICI seems to be going up everyday with their credit swaps getting pricey in the market..!!

    ICICI Bank fixes Record Date for fixing Call on partly paid shares

    ICICI Bank Ltd has announce that the Board of Directors of the Bank have decided to call upon balance amount of Rs 390 per share (Rs 0.75 per share towards face value and Rs 389.25 per share towards share premium) on 17,402,172 partly paid shares (Rs 500 paid up) allotted to the retail bidders and existing retail shareholders under the follow on public offering of the Bank in June 2007.

    The shares were allotted to the retail bidders and existing retail shareholders @ Rs 890 per share. The Board of Directors have fixed November 23, 2007 as the Record Date for ascertaining the shareholders who would be required to pay the Call money.

    The stock closed the day at Rs.1024.05, down by Rs.14.75 or 1.42%. The stock hit an intraday high of Rs.1065 and low of Rs.983.

    The total traded quantity was 883370 compared to 2 week average of 1196199.

    here is the answer i received from icicidirect in regard to the second and final payment of icici pps.
    Dear Customer,

    As you have an ICICI Bank Account:

    (i) Through http://www.icicibank.com – clicking on the banner “ICICI Bank Payment of Call Money FPO 2007” and entering demat account no. Internet banking user id and password is necessary. OR

    (ii) By depositing cheque/demand draft at designated ICICI bank branches (list attached).

    You can find the list on http://www.icicibank.com by clicking on the link as mentioned above.

    If you have not received the first Call Notice. You can get the same. Email investor@icicibank.com or companysecretary@icicibank.com or call 3i Infotech at 67928000 or write to 3i Infotech Limited at

    I am not able to sell the partly paid shares thru icicidirect, it says these are not traded !!
    Even at CMP(~820), it makes more sense to dump these shares ????
    If we convert to fully paid shares(1140 levels),by paying 390 more, we wud end up paying more – is the math i’ve done correct ??

    Hi,
    I want to apply for reliance power IPO,i have come to mumbai for a month.
    i dont have my cheque book right now,all i have is pan card.
    1)can i make payment in karvy through Demand draft,my account is in HDFC Bank,bangalore.
    2) I have a demat account in some trading company in bangalore,can i apply for IPO in mumbai.
    3)I am planning to take 100 shares-
    ex) take per share value-450 rs
    total amont -45000 rs
    according to partial payment -price per share -115 rs
    so totally i am paying 115*100=11500 rupees at the start
    when it is listed think it is 500rs per share-

    so my doubt is what should be the excess amount i need to pay after listing of share.

    is it 45000-11500=33500 rs OR
    50000-11500=38500 RS.

    PLEASE REPLY BACK AS SOON AS POSSIBLE.
